Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Desha AI ("Desha," "we," "our," or "us") governing your access to and use of the MedNote application and all related Desha services (collectively, the "Service"), available on iOS, Android, and web.

By downloading, installing, registering for, or using MedNote, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

• You must be at least 18 years of age to create a MedNote account.
• You may add family members, including children, to your account as dependants. By doing so, you confirm you are the parent or legal guardian of those individuals and consent to their health data being managed within your account.
• You must provide accurate, current, and complete information during registration.
• You must have the legal authority to enter into this agreement in your jurisdiction.
• Use of MedNote in jurisdictions where such services are prohibited is not permitted.

5. Account Registration and Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at privacy@desha.ai if you suspect unauthorised access to your account.
• You are responsible for all activity that occurs under your account.
• One person may not operate multiple accounts. Creating duplicate accounts may result in suspension.
• You may not transfer your account to another person without our written consent.

6. Free App, Subscriptions, and Billing

6.1 iOS App — Free with No In-App Purchases

6.2 Protect Plus — Web Subscription

A premium subscription tier, Protect Plus, is available exclusively through the Desha AI website at desha.ai. Protect Plus is not purchasable within the iOS or Android app. Users who subscribe via the website may access additional features through the web platform.

• Protect Plus subscriptions are billed directly by Desha AI via the desha.ai website — not through Apple or Google.
• Subscription management, cancellation, and billing enquiries are handled at desha.ai or by emailing legal@desha.ai.
• Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled before the renewal date.
• Cancellation takes effect at the end of the current billing period. You retain access to Protect Plus features until that date.
• Refund requests are subject to our refund policy at desha.ai and applicable consumer protection laws.

6.3 What Free Users Can Access on iOS

• Self-registration and personal health profile
• Prescription upload and AI-assisted medication extraction
• Medication adherence tracking and reminders
• Basic Health Responsibility Score (HRS)
• Family member profiles (up to the free-tier limit)
• Clinician connectivity via DocNote

7. Acceptable Use

By using MedNote, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload or share any prescription, health record, or document that does not belong to you or a family member under your care.
• Attempt to gain unauthorised access to other users' accounts or health data.
• Use the Service to make clinical decisions without the guidance of a qualified healthcare professional.
• Reverse engineer, decompile, or disassemble any part of the MedNote application.
• Transmit any malicious code, viruses, or harmful data through the Service.
• Scrape, extract, or systematically copy data from the Service using automated means.
• Misrepresent your identity or the identity of family members in the app.
• Use the Service in any way that could damage, disable, or impair it.

8. Your Health Data and Content

You retain ownership of all health data, prescriptions, and content you upload to MedNote. By using the Service, you grant Desha AI a limited, non-exclusive licence to process your data solely to provide and improve the Service as described in our Privacy Policy.

You are responsible for the accuracy of information you enter. AI-extracted prescription data is provided as-is and must be verified against your original documents before acting upon it.

You may export or delete your data at any time as described in our Privacy Policy. Upon account deletion, your identifiable health data will be permanently erased within 30 days.

9. Intellectual Property

All rights, title, and interest in the MedNote application — including the software, design, HRS algorithms, AI models, trademarks, and content — are owned by or licensed to Desha AI. Nothing in these Terms grants you any right to use our intellectual property other than as necessary to use the Service.

The Desha AI name, logo, and MedNote branding are trademarks of Desha AI. You may not use these marks without our prior written consent.

10. Third-Party Services

MedNote integrates with third-party services including Microsoft Azure (infrastructure), Google Firebase (notifications and analytics), and Apple/Google app stores (distribution and payments). Use of these third-party services is subject to their respective terms and privacy policies. Desha AI is not responsible for the privacy practices or content of third-party services.

Any link to a healthcare provider, pharmacy, or external service within MedNote is provided for convenience. Desha AI does not endorse or assume responsibility for those services.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, MedNote is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
• We do not warrant the accuracy, completeness, or reliability of AI-extracted prescription data.
• We do not warrant that the Health Responsibility Score reflects your actual clinical health status.
• Service availability may be affected by maintenance, upgrades, or circumstances beyond our control.

12. Limitation of Liability

To the maximum extent permitted by law, Desha AI and its affiliates, officers, employees, and agents shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of data, revenue, profits, or business opportunities
• Health outcomes arising from use of or reliance on the Service
• Errors or omissions in AI-extracted health data
• Decisions made based on the Health Responsibility Score or any information in the app
• Interruptions in service or data loss due to technical failures or force majeure

Our maximum aggregate liability for any claim arising out of these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or £100 (GBP), whichever is greater. Some jurisdictions do not allow limitation of liability for certain types of damages — in such cases, our liability is limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify and hold harmless Desha AI and its affiliates, officers, agents, employees, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you submit through the Service.

14. Account Termination

14.1 Termination by You

You may delete your account at any time via MedNote app → Settings → Account → Delete Account, or by emailing privacy@desha.ai. Deleting your account cancels your subscription and initiates permanent erasure of your health data within 30 days.

14.2 Termination by Desha AI

We may suspend or terminate your account:

• For material violation of these Terms
• For fraudulent or illegal use of the Service
• For actions that risk the safety, security, or integrity of the platform or other users
• Where required by law or regulatory authority

Where possible, we will provide notice before suspension and an opportunity to remedy the breach. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will do so.

15. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will provide reasonable advance notice of significant changes that affect paid features. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Users in other jurisdictions also benefit from mandatory consumer protection laws in their country of residence.

In the event of a dispute, we encourage you to contact us first at legal@desha.ai so we can attempt to resolve it informally. If informal resolution is not possible, disputes shall be submitted to binding arbitration, except where prohibited by law or where you are entitled to bring claims in small claims court.

For EU/UK consumers: You may also refer disputes to the relevant national alternative dispute resolution body or the European Online Dispute Resolution platform.

17. Apple App Store and Google Play Additional Terms

17.1 Apple App Store

If you download MedNote from the Apple App Store, the following additional terms apply:

• These Terms are between you and Desha AI only, not Apple Inc. Apple is not responsible for MedNote or its content.
• The MedNote iOS app is free and does not offer In-App Purchases. No charges are made to your Apple ID for MedNote features.
• Apple has no obligation to provide maintenance or support for MedNote.
• In the event of any product liability, consumer protection, or intellectual property claims, Desha AI (not Apple) is responsible.
• You agree to comply with Apple's App Store Terms of Service.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17.2 Google Play

If you download MedNote from Google Play, the following additional terms apply:

• These Terms are between you and Desha AI only, not Google LLC. Google is not responsible for MedNote or its content.
• Google has no obligation to provide maintenance or support for MedNote.
• You agree to comply with Google Play's Terms of Service.

18. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Desha AI regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• Language: These Terms are provided in English. Where translated versions conflict, the English version governs.

We may update these Terms at any time. We will provide at least 30 days' notice of material changes via in-app notification, email, or a prominent notice in the app before the changes take effect. Continued use of MedNote after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
